Business Acquisition Valuations in the UAE

A buyer's risk is paying for profits that do not survive completion. Sellers' projections in the UAE are often optimistic, accounts may be unaudited, and key relationships may sit with the owner rather than the company.

We value targets for acquirers, testing the quality of earnings and the assumptions behind the price, so that boards and investors can see the maximum price that can be justified and the conditions that should attach to it.

What we value

The subject of the valuation

The target business, the shares being acquired and, where relevant, the value of synergies to the particular buyer separately from market value.

Our method

How we reach the figure

We rebuild the target's profit from its audited results and bank statements, challenge each add-back the seller proposes, and compare the business plan with what was actually delivered in prior years. A cash flow model shows how far the price relies on growth, margin and investment assumptions, and regional deal multiples act as a reality check.

Structure matters as much as headline price: what is paid on day one, what is deferred or tied to performance, how net debt and gratuity liabilities are treated, and whether the founders keep a stake.

Questions

Questions clients ask about this service

Does a valuation replace due diligence?
No. Due diligence checks the facts about the target; the valuation turns those facts into a price range. Findings from a due diligence report feed straight into our model.
Can you value synergies?
Yes, separately from market value, so the board can see how much of the price depends on benefits only it can achieve.
