Purchase Price Allocation Valuations in Dubai & the UAE

After an acquisition, IFRS 3 requires the buyer to recognise the identifiable assets and liabilities acquired at fair value, with any excess of the price recognised as goodwill. That usually means identifying and valuing intangible assets that were never on the target's balance sheet.

What we value

The subject of the valuation

Customer relationships, brands and trademarks, technology and software, order backlogs, favourable contracts and non-compete agreements, together with deferred or contingent consideration.

Our method

How we reach the figure

Brands and technology are typically valued using relief-from-royalty, customer relationships using the multi-period excess earnings method, and other assets using income or cost approaches. The total is reconciled with the price paid, and the returns implied on each asset are compared with the overall return on the deal.
